Non-disclosure agreement (NDA)
A sample of the mutual non-disclosure agreement we sign at the first step of discussions.
Confidential information
Any commercial, technical, financial or customer-related information disclosed by one party to the other in writing, orally or electronically is confidential information.
Source code, architecture documents, pricing and customer lists are expressly included.
Exceptions
Information that is public, independently developed by the receiving party, or lawfully obtained from a third party is not confidential information.
Where disclosure is required by law or court order, the other party is notified before disclosure.
Permitted use
Confidential information may be used only for the engagement under discussion and for no other purpose.
Access is limited to personnel who need it to perform the work, and those individuals are bound by the same obligations.
Term and return
The confidentiality obligation continues for five years after the agreement ends.
On request, confidential information is returned or destroyed within thirty days; copies held in backups are deleted when their retention period expires.
Breach
In the event of a breach, the injured party may seek injunctive relief in addition to damages.
This agreement creates no obligation to enter into a business relationship and no exclusivity.
