Service agreement
A sample of the master agreement we sign for enterprise software work. Scope, fees and schedule for each engagement are set in a separate order form.
Parties and scope
The supplier is Pariette Teknoloji Ltd. Şti. (Maslak Mah. Ahievran Cad. No: 11-2, Olive Plaza, Sarıyer / İstanbul, Türkiye — Mersis 0721100572900001); depending on where the work is performed, Pariette Inc. or Penyu OÜ may be the contracting party instead.
The master agreement sets the general terms; each engagement starts with a separate order form defining its scope and fee.
Delivery and acceptance
Development runs in two-week periods; each period ends with a working build on the staging environment.
If the client raises no written objection within ten business days of delivery, the delivery is deemed accepted.
Fees and payment
For fixed-scope work, payment follows the milestones in the order form. Under the monthly team model, invoices are issued at the start of each month.
Late payment interest applies to amounts unpaid fifteen days after the invoice date.
Intellectual property
Economic rights in source code written specifically for the client transfer to the client once the full fee has been paid.
Rights in libraries and products the supplier developed beforehand are reserved; the client receives a perpetual, non-transferable licence to use them.
Confidentiality
Each party keeps trade secrets and technical information learned during the engagement confidential for the term and for five years after it ends.
Where a separate non-disclosure agreement has been signed, its terms take precedence.
Liability
The supplier's total liability is limited to the amount actually paid under the relevant order form in the preceding twelve months.
Indirect damages, loss of profit and loss of data are excluded, save in cases of intent or gross negligence.
Term and termination
The master agreement runs for an indefinite term; either party may terminate on thirty days written notice.
On termination, completed work is paid for and the client’s data is handed over within thirty days.
Governing law
Agreements with Pariette Teknoloji Ltd. Şti. are governed by Turkish law, with the Istanbul (Çağlayan) courts having jurisdiction.
Agreements with Pariette Inc. are governed by the laws of the State of Delaware.
